Though both are motivated by guilt, it's hard to compare the two. Spider-Man is more along the lines of the typical adolescent fantasy, i.e. the nerd assumes a new identity where he's powerful, in charge, brave, and has the attention of beautiful women. The current slant on Batman is dark, twisted, bordering on insane. Spider-Man is a folk hero, champion if the little guy who is happy go lucky, cracking jokes as he's stopping crimes. Batman relies on darkness, intimidation, fear, and cracks skulls as he stops crime. Both heroic identities are escapes for the "normal" men, the chance to be what they really want to be, what they really are.

Just the basic characters, pros and cons of each and which one you think is better. Not who would win in a fight, since that kind of thing is somewhat silly due to a simple rule of 'the hero always wins in the end' for the comic book universe, so it would be who ever was in the right to begin with.

Do you mean Spider-Man vs. Batman in terms of comic book/pop culture influence, the psychlogical differences of the men beneath the masks, or in a classic brawl? There are a lot of directions we can go with a question like this.
